| dc.description.abstract | 회사가 자기주식을 취득하게 되면 당해 회사의 재산적인 기초를 위태롭게 하며 일반투자자 자와 회사채권자의 이익을 침해할 수 있기 때문에 이러한 자기주식취득에 대해서는 엄격한 제한이 가해진다. 비교적 자유롭게 자기주식을 취득할 수 있는 미국의 회사와는 달리 우리나 라의 회사들은 상법상 자기주식취득이 원칙적으로 금지되고 예외적인 경우에만 그 취득이 인 정되고 있다. 다만 상장회사의 경우에는 증권거래법에서 자기주식취득이 가능한 경우를 제한 하지 않고 자기주식취득금액의 한도만을 규정하고 있기 때문에 적대적 기업인수의 방어전략 으로 자기주식취득이 이용될 수 있다. 본 논문은 적대적 기업인수에 대한 방어수단으로서의 자기주식취득에 관한 미국에서의 이론적 논의를 검토하고 한국 법제도에의 시사점에 대해 살 피보았다. | - |
