해외 민관협력(PPP)의 주요 법률적⋅실무적 쟁점

Abstract

2030년도까지 전 세계적으로 사회기반시설에 대한 수요는 가히 천문학적 수준이 요구된다고 한다. 그런데 이러한 수요에 부응하는데 있어 각국은 정부재정사업이 아닌 민관협력(public-private partnership, PPP) 사업방식을 앞다투어 도입하고 있다. 이에 발맞추어 우리기업들도 해외 PPP 사업추진을 도모하고 있고, 주어진 현실을 감안할 때 반드시 그래야 한다. 이에 본고는 해외 PPP의 전반적인 법률적⋅실무적 쟁점을 개괄적으로 살펴본다는 취지하에서, PPP의 정의부터 시작하여, 다양한 사업방식의 정립, 실시협약의 법적성격과 관련한쟁점, PPP 사업의 법적체계 및 PPP 사업의 시행절차에 따른 각 단계마다 주요 법률적⋅실무적 쟁점을 살펴보고 있다. 실시협약의 법적성격에 대해서는 이 협약이 공법상 계약인지 아니면 사법상 계약인지 여부를 비교법적으로 조망하고 있다. 공법상 계약의 경우에는 사법상 계약과 다른 법원칙이적용되고, 분쟁해결 방식도 달라지기 때문에 이러한 구분은 중요하다. 또 법계에 따라 PPP 의 법적체계를 달리하고 있는 점 또한 비교분석하고 있다. 실시협약을 포함한 PPP계약에서 가장 중요한 계약조건 5가지에 대해서도 검토하고 있는데, 그 다섯 가지는 다음과 같다. (1) 준공된 대상시설이 갖추어야 할 요건들과 아울러, 그요건에 부합하지 못할 경우 주무관청이 구할 수 있는 구제; (2) 민간부문에 대한 보상체계; (3) 계약조건의 조정; (4) 분쟁해결절차; (5) 중도 계약해지권 행사 및 해지시지급금 산정을포함한 그 효과가 그것이다.

Per World Bank’s released statistics, a value of infrastructures required world-wide to be provided until the year of 2030 amounts to US$3.3 trillion. Many countries provide public assets or services by a form of public-private partnership (“PPP”), and this trend will be further growing. World Bank defines PPP as “a long-term contract between a private party and a government entity, for providing a public asset or service, in which the private party bears significant risk and management responsibility and remuneration is linked to performance.” This article is written to help readers inform themselves on key PPP topics. It first enlists various definitions of PPPs and tries to set forth more accurate and comprehensive definition thereof. Then it describes in more detail the range of PPP contract types under the definition of PPP and some of common terminology used globally to describe PPPs. This article also addresses what types of PPP frameworks are available in various countries and what effects would be in implementing PPP projects. Next, it analyzes in detail a different legal nature of implementation/concession agreement, depending upon different legal system of respective country; that is, whether such implementation agreement should be regarded as either public contract or private contract, and what its different effect would be. Lastly, this article provides guidance on each stage of developing and implementing a PPP project-from identifying PPP candidates to managing contracts through the project life cycle. Particularly, it addresses key provisions in PPP contract including performance requirements, payment mechanisms, adjustment mechanisms, dispute resolution procedures, and termination provisions and payment. The author hopes that this article would be a good resources for Korean developers doing their business overseas.
