합작파트너의 경영통제권이 합작기업의 경영성과에 미치는 영향

Abstract

본 연구는 합작기업 파트너 간의 경영의 역할분담과 경영성과 간의 관계를 조사한다. 한국기업과 미국, 일본, 또는 EU 기업 간에 설립된 70개의 합작기업을 연구 표본으로 하였다. 연구결과는 한국측 합작파트너는 자신이 제공한 경영자원 즉, 자신의 경쟁우위와 일치하는 합작기업의 경영활동에 경영통제권을 행사하였을 때, 합작기업이 높은 경영성과를 보이는 것으로 나타났다. 그러나 한국측 합작파트너가 외국측 합작파트너가 제공한 경영자원 즉, 외국측 합작파트너의 경쟁우위와 일치하는 경영활동에 경영통제권을 행사하면, 합작기업의 경영 성과는 악화되는 것으로 나타났다. 결국, 두 합작파트너는 각각 자신에 제공한 경영자원 즉, 자신의 경쟁우위와 일치하는 경영활동에 대해서만 경영통제권을 행사해야 합작기업이 높은 경영성과를 보인다는 것을 시사하고 있다.

The research question is how to divide the management control between JV partners. JV partners hope to gain as much control as possible over the JV's management. 70 manufacturing joint ventures formed between local Korean firms and foreign firms from developed countries were examined to answer the research question. The choice of activities of control was found to be important to JV performance. The more control local Korean firms exercised over the activities representing their own firm-specific advantages, the better the JVs performed. However, the more control local Korean firms exercised over the activities representing foreign partners' firm-specific advantages, the worse the JVs performed. This suggests that Korean and foreign partners should choose the activities to control so that those chosen activities can be matched with their respective firm-specific advantages.
