자본구조변경에 따른 주식매수선택권 부여조건 변경방안

Abstract

회사는 정관이 정한 바에 따라 상법 제443조의 규정에 의한 주주총회의 결의로 회사의 설립·경영과 기술혁신 등에 기여하거나 기여할 수 있는 회사의 이사·감사 또는 피용자에게 미리 정한 가액(이하 행사가액)으로 신주를 인수하거나 자기의 주식을 매수할 수 있는 권리(이하 주식매수선택권)를 부여할 수 있다. 주식매수선택권을 부여한 이후 일정한 사유로 인해 부여조건을 변경할 필요성이 발생할 수 있으나, 아직까지 이에 관한 명확한 법률규정이나 실무지침이 없어서 기업의 실무담당자들이 어려움을 겪고 있다. 본 연구에서는 구 증권거래법이나 주식매수선택권표준모델 등에서 언급하고 있는 주식매수선택권 부여조건 변경에 관한 내용을 검토한 후, 문제점을 분석하고 개선방향을 제시한다. 구체적으로, P사의 사례를 통해서 자사주매입 (매입)소각에 따른 기부여 주식매수선택권의 행사가액 및 부여수량의 조정방안에 대해 살펴보았다. 본 연구가 주식매수선택권의 부여조건 변경에 관한 법령 및 실무지침의 개선에 도움이 되었으면 한다.

A stock option is a right to buy some shares(granted amount) of a company at a fixed price(excercise price). Stock option is granted to the people who contributed(or can contribute) to the foundation, management and technology innovation of a company. After granting stock option, it may be necessary to adjust stock option right such as exercise price or granted amount. However, until now, there is no clear rule for adjusting stock option right, so many practitioners have difficulties in adjusting stock option right. The purpose of this study is to investigate prior rules about stock option and to suggest the method of adjusting stock option right. Specifically, this study introduces P company's case about purchasing treasury stock and adjusting exercise price and granted amount. This study will help practitioners adjust stock option right.
