- Abstract
- 최근 금융지주회사를 둘러싼 각종 금융사고에서 보듯이 우리나라의 금융지주회사 제도는 소유규제 및 지배구조 규제의 측면에서 많은 문제를 안고 있다. 금융지주회사의 대주주 및 사실상 영향력을 행사하는 자에 대한 금융규제 차원의 통제가 아직도 부족하고, 외부의 이해관계당사자에 의한 사전적 사후적 통제 역시 불충분하다. 소유 규제의 차원에서도 자회사 편입과 관련된 규제가 명확하게 정비되어 있지 않다. 본 연구는 이런 문제를 시정하기 위해 금융지주회사의 정의와 지배의 개념을 재정립하고, 자회사 편입과 관련한 규제의 문제점과 개편방향을 살펴보고, 자회사 경영관리 책임을 명확히 하는 등 세 가지 정책 방향을 선정하고 세부 과제를 10개로 간추려서 검토하고 구체적인 개정안을 예시하였다.
