- Abstract
- 매수인의 이행정지권은 계약에서 매도인이 계약위반을 한 경우에 피해를 입은 매수인이 자신의 의무를 정지함으로써 자신을 보호하는 유용한 자력구제수단이다. 하지만, 이행정지를 위한 요건을 갖추지 아니하고 이행정지권을 행사하는 경우에는 오히려 피해를 입은 매수인이 계약위반을 범할 수 있으며, 반면에 매도인의 계약위반이 치유되지 않은 상황에서 매수인이 이행을 하는 경우에는 매수인은 매도인의 실제 불이행으로 인하여 매수인 자신이 손실을 입을 위험에 노출될 수도 있게 된다. 또한 이행정지권이 아무런 요건 없이 인정된다면, 계약당사자가 자신의 의무를 회피하는 수단으로 악용될 수도 있는 문제이다. 이에, 본 연구는 매도인의 도래된 계약의무의 위반에 국한하여 매수인의 이행정지권 행사를 위한 매도인의 계약위반의 심각성 요건에 대하여 유엔국제물품매매협약(CISG)와 유럽공통매매법(CESL) 및 국제상사계약에 관한 일반원칙(PICC)과의 비교연구를 통하여 고찰해 보고자 한다. 더불어 본 연구에 고찰한 내용에 기초하여 실무적 및 법리적으로 유의사항과 시사점을 제공하고자 한다.
