전자주주주총회에 관한 외국 입법동향과 전자주주총회 도입관련 제도적 정비사항에 관한 연구

Abstract

This Paper surveys current practices on virtual shareholder meeting(VSM) and legislations thereon in foreign countries. VSM can be conducted in two ways : (1) virtual-only meeting which is held online exclusively and (2) hybrid meeting which is held in-person at a physical location and is open to participation by shareholders online at the same time. Not all countries allow VSM and KCC is generally interpreted in a way that VSM is not allowed in Korea. Among the countries allowing VSM, some countries prohibit virtual-only meeting. This paper analyzes which provisions of KCC should be amended to introduce VSM in KCC.
