기업의 사회적 책임과 주주행동:미국과 한국의 소액주주운동 비교

Abstract

최근 참여연대가 이끌어 온 국내 소액주주운동은 그 성과에 있어 긍정적인 부분과 부정적인 평가를 동시에 받고 있다. 기업지배구조의 투명성 확보라는 긍정적인 면이 있지만, 과도한 정치적 운동으로의 변모 혹은 해외자본에 의한 국내 자본시장의 침식 등과 같은 부정적인 평가 역시 존재한다. 본 연구는 주주행동주의란 한 국가 내부에 배태되어 있는 다양한 사회ㆍ문화ㆍ제도적인 요소들간의 상호작용을 통해 만들어지는 것이라는 경제사회학적 시각을 제시하였다. 구체적으로 본 연구는 주주자본주의 경제체제를 채택하고 있으면서 동시에 기업의 사회적 책임 개념이 일찍이 발달한 미국의 사례와, 재벌체제를 채택하고 있으면서 기업의 사회적 책임에 관해 강한 윤리적 요구를 경험하고 있는 한국의 사례를 주주행동주의를 중심으로 비교, 분석하였다. 연구결과 미국에서 의미하는 주주행동주의와 국내에서 의미하는 소액주주운동에는 시기별로 분명한 특징들을 보여주었다. 하지만 본 연구는 두 나라의 주주행동주의에 있어 나타나는 차이점들이 그 비교 시점을 현재라는 시간적 기준을 바탕으로 단순 비교할 경우에만 유효하다는 점을 발견하였다. 즉, 본 연구는 두 나라 주주행동주의의 추진주체, 작동기제, 주요수단, 이념적 기반 등에 있어 미국의 초창기 주주행동주의 유형이 현재 한국의 유형과 매우 유사한 모습을 띠고 있다는 점을 발견하였다. 본 연구결과는 미국의 경험을 통해 한국의 주주행동주의가 향후 어떠한 경로로 진화할 것인가에 대한 시사점을 제시하고 있다. 즉, 한국에서 주주행동주의 그 자체가 미국식 주주자본주의를 기반으로 출발하였다는 사실을 고려할 때, 그리고 한국은 외환위기 이후 금융개방화를 통해 주주자본주의를 기반으로 하는 미국식 신자유주의 체제의 도입이 가속화되고 있다는 점을 감안할 때, 향후 한국의 주주행동주의 역시 많은 부분에서 미국과의 차이점보다는 유사성이 더 많이 부각될 것으로 보인다. 이는 주주행동주의의 주요 행위주체인 기업과 소액주주들이 배태되어 있는 제도적 환경이 바뀌고 있다는 의미이자, 이들이 상호작용하며 형성하는 사회적 관계 또한 바뀌고 있다는 의미이기도 하다.

Today shareholder activism is regarded as an important tool in embedding the way in which the corporations work for society. In this study, I seek to explain the growing influence of shareholder activism in the US and Korea. This study utilized corporate social responsibility(CSR) on shareholder activism to explain relationships between small shareholders and the corporations. In particular, this study attempts to present the major characteristics in shareholder activism between the US and Korea. This research interest is centered around i) the major actors, ii) working mechanism, iii) the crucial ways and means, and iv) ideological orientation, of the movement. This study found that there have been major characteristics in the two countries: first, the American shareholder activism has been no longer based on the social movement led by NGOs, but on the corporate social investment led by the institutional investors. On the other hand, the Korean shareholder activism has been led by NGOs; second, the American institutional investors are interested in corporate social responsibility but they also pursue financial success, while the Korean NGOs focus on the chaebol reform registrations; third, in the US, the crucial ways of the movement are direct communications for settlements or withdraw of shareholder proposals, meanwhile the issue fighting and law suits are the major way of the movement in Korea; finally the American activism, in terms of ideological orientation, has been broaden from the left to the right, while the Korean activism has been influenced by the left.
